How it works Mystery Bags For merchants FAQ Order now

Merchant agreement

This agreement is between you (the merchant, trading as the business you registered with Chop Awoof) and Ingena Labs Ltd ("Ingena Labs", "Chop Awoof", "we", "us"), a company incorporated in Nigeria, registered address 18 Idita Street, Surulere, Lagos, Nigeria. By accepting this agreement in the merchant app, you agree to the terms below, and to our Merchant Standards & Food Safety Policy, which is part of this agreement.

What you're agreeing to sell on

Chop Awoof is a marketplace for surplus food. You list Specific Offers or Mystery Bags; customers pay through the Chop Awoof website or app and collect in person during your stated pickup window. You remain the seller of the food at all times — Chop Awoof provides the marketplace, payment handling and pickup coordination, and does not prepare, inspect or take ownership of your food.

Eligibility and onboarding

You must be a genuine, operating food business in our launch area, able to provide a pickup location, honour the hours and pickup windows you set, and receive payouts to a bank account in your business's or your own name. Onboarding today is assisted by a Chop Awoof representative, which may include a visit to your premises — see our Merchant Standards page for what this does and doesn't verify.

Your responsibilities

  • List only food that is safe, legal to sell, and accurately described — see our Merchant Standards page.
  • Set truthful prices and discounts: your "before" price must be a real price, not an inflated figure invented to make the discount look bigger.
  • Honour confirmed orders during your stated pickup window; reject or cancel promptly if you can't fulfil one, rather than leaving a customer unable to collect.
  • Keep your storefront, hours, and pickup location accurate and up to date.
  • Cooperate with us on a customer complaint or a safety concern, including providing information we reasonably request.
  • Comply with applicable Nigerian law, including food-safety, business and tax obligations that apply to your business.

Commission and payouts

Chop Awoof charges a commission on each completed order, deducted before you're paid. The current commission rate is shown in your merchant dashboard before you publish each offer — we state it there rather than as a fixed number in this agreement, because the rate is a configurable platform setting that may change from time to time; we will give you reasonable notice of a change that affects orders you haven't yet received. Payouts are calculated daily and transferred to your verified bank account on the schedule shown in your dashboard. If a customer is refunded after you've already been paid for that order (for example, following a safety cancellation), the refunded amount is deducted from a future payout; we will not take your account below zero to do this.

Admin assistance with your listings

A Chop Awoof admin may, with your knowledge, sign in as your business ("merchant impersonation") to help you set up or troubleshoot your account — for example, during onboarding support. This access is time-limited, logged, and cannot be used to accept this agreement, change your bank details, or edit your application on your behalf — those actions always require you personally.

Recurring Mystery Bags

If you turn on automatic daily publishing for a recurring Mystery Bag template, each day's bag is generated and published automatically without a further approval step from you that day — turning the setting on is treated as your standing instruction to publish, including your standing food-safety attestation for each day's bag, until you turn it off or skip a specific day. You can disable it, or skip a single day, at any time before that day's bag publishes.

Suspension and termination

We may pause your ability to publish, restrict what you can list, suspend, or end your account for reasons including unsafe or expired food, prohibited items, misleading listings, repeatedly failing to fulfil confirmed orders, manipulated pricing, or fraud. Where reasonably possible, we will tell you why. You may stop selling on Chop Awoof at any time by contacting us.

Liability

You are responsible for the food you sell and for your own compliance with the law. We are not liable for losses arising from your own acts or omissions as the seller. We provide the marketplace, payment handling and pickup coordination as described in this agreement and our other policies, and our liability is limited to what is reasonable and lawful for that role — this agreement does not exclude any right either of us has under Nigerian law that cannot lawfully be excluded.

Changes to this agreement

We may update this agreement as the service develops. A material change will ask you to review and accept it again in the merchant app before you can keep publishing offers or receiving orders.

Governing law

This agreement is intended to be governed by the laws of the Federal Republic of Nigeria.
